High-stakes talks have commenced between Warner Bros Discovery and the streaming behemoth for a potential sale of its flagship entertainment operations, a development that could profoundly reshape the entertainment industry landscape.
A High-Stakes Competition
The leading streamer is reportedly vying with other industry titans like a rival studio and the cable giant, which owns Universal Studios and Sky, for ownership of the legendary Warner Bros studio, the prestigious HBO network, and the HBO Max streaming platform.
According to reports Netflix has offered a substantial termination penalty of £3.7 billion if the acquisition not obtain antitrust approval in the US.
The Offer Details
With Warner Bros Discovery shares sitting around approximately $24, its overall market cap is estimated at around $60 billion. It is believed Netflix's offer is between $28 and $30 per share, which suggests a potential deal worth in the neighborhood of $70 billion to $75 billion.
Analysts have warned that such a merger could trigger major antitrust concerns, as it would unite two of the most dominant subscription platforms in the United States.
Assurances and Strategic Moves
In its proposal, the streamer has reportedly given guarantees that the Warner Bros film studio, home to iconic series like Batman and Harry Potter, would continue to enjoy wide theatrical releases.
Prior to a final agreement, Warner Bros Discovery is expected to complete a pre-arranged separation of its linear TV networks, such as TNT, TBS, and CNN.
An Entertainment Powerhouse
A successful acquisition, the buyer would gain ownership of the acclaimed HBO, the maker of award-winning shows including Game of Thrones, Succession, The Sopranos, and The White Lotus, plus an extensive archive of classic television.
Warner Bros formally initiated its sale process in October following overtures by multiple suitors.
Voices of Caution
The potential sale has sparked controversy. Esteemed director James Cameron, known for Titanic and the Avatar series, recently warned that a Netflix acquisition could lead to a "catastrophic loss of enduring worth" for the broader entertainment industry.
At first, Paramount Skydance had been considered the leading candidate. The company had similarly proposed a $5bn breakup fee if approval issues.
Allegations of an Uneven Playing Field
This week, the rival bidder contended formally that its offer was the most likely to gain regulatory clearance. Furthermore, the company accused the seller of conducting an "biased sales process" that unduly benefited Netflix, labeling it "compromised" in official documents.
Officials from all companies involved refused to provide a statement on the current talks.
